Terms of Service

1. Agreement and Acceptance

These Terms of Service (“Terms”) are a binding agreement between you and MOYA ANALYTICS PTE. LTD. (UEN 202432360K) regarding your use of MOYA Cascade (the “Service”). If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

Company details: MOYA ANALYTICS PTE. LTD., a private company limited by shares incorporated in Singapore on August 8, 2024, with registered address at 33A PAGODA STREET #na Singapore 059192.

2. Eligibility and Accounts

• You must provide accurate account information and keep credentials secure.
• You are responsible for activity under your account unless caused by our breach of these Terms.
• You must promptly notify us of suspected unauthorized access.

3. Service Scope

MOYA Cascade provides process modelling, process map modelling, collaboration request workflows, and solver/abatement analytics.

Service capabilities and limits may vary by plan and may change over time.

4. Acceptable Use

You agree not to:

• Use the Service for unlawful, harmful, or fraudulent activity.
• Attempt to bypass authentication, authorization, usage limits, or security controls.
• Interfere with service operation, integrity, or availability.
• Upload or transmit malware, malicious code, or abusive content.
• Reverse engineer the Service except where rights cannot be restricted by law.

5. Customer Data and Content

You retain ownership of data and content you submit to the Service, including process assets, versions, maps, requests, and solver inputs.

You grant us and our subprocessors a limited license to host, process, transmit, and display this data only as required to provide, secure, and improve the Service.

You are responsible for having lawful rights to any personal data you submit, including collaborator emails and location details entered in the Service.

6. Privacy and Data Protection

Our handling of personal data is described in the Privacy Policy and Cookie Policy.

7. Third-Party Services

The Service relies on third-party infrastructure and integrations, including Vercel, Supabase, AWS infrastructure, map tile services, and solver services. Their availability and terms may affect the Service.

Infrastructure operations may involve Singapore and United States environments, including us-east-1 workloads.

Third-party providers may process data under their own terms and privacy/cookie policies.

8. Plans, Limits, and Commercial Terms

• Usage limits may apply to assets, brands, systems, and solver runs.
• Paid features, if offered, are governed by separate commercial terms or order forms where applicable.
• We may change plan structures or limits with reasonable notice.

9. Intellectual Property

We and our licensors own all rights in the Service, software, branding, and related materials except your content.

10. Service Changes, Suspension, and Termination

We may modify, suspend, or discontinue parts of the Service, including for maintenance, security, legal compliance, or misuse prevention.

We may suspend or terminate access for material breaches, unlawful use, security risk, or non-compliance with these Terms.

11. Disclaimer

The Service is provided on an “as is” and “as available” basis to the extent permitted by law. We do not warrant uninterrupted operation, absolute accuracy, or fitness for a specific purpose absent an express written commitment.

12. Limitation of Liability

To the fullest extent permitted by law, MOYA Analytics is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, goodwill, or data arising from use of the Service.

Where liability cannot be excluded, our aggregate liability is limited to the amount paid (if any) for the Service during the 12 months preceding the event giving rise to the claim.

13. Indemnity

You agree to defend and indemnify MOYA Analytics from claims arising from your unlawful use of the Service, your content, or your breach of these Terms, except to the extent caused by our own misconduct.

14. Governing Law and Disputes

Unless a separate agreement states otherwise, these Terms are governed by the laws of Singapore, without regard to conflict-of-law principles. Disputes shall be brought before the competent courts of Singapore.

15. Updates to These Terms

We may update these Terms from time to time. Updates take effect when posted, unless a later date is specified.
